Terms of Use, Public Content Notice and Liability Disclaimer

These Terms of Use apply to the use of the ESX / ESX website, platform, marketplace, databases, files, engineering data, CAD files, datasheets, item pages, supplier offers, communications and any related services operated by ESX ("ESX", "we", "us" or "the Platform").

By accessing, using, uploading content to, downloading content from, purchasing through, selling through, or otherwise interacting with the Platform, you agree to these Terms.

1.Public Nature of Uploaded Content

Unless explicitly stated otherwise by ESX in writing, any content uploaded, submitted, created, imported, generated or published on the Platform is treated as public or commercially accessible marketplace content.

This may include, without limitation: item pages, product descriptions, engineering attributes, technical specifications, standards references, images, drawings, CAD files, STEP files, datasheets, supplier offers, pricing information, availability information, comments, ratings and reviews, company or seller profile information, and compliance declarations that are intended for marketplace use.

Users must not upload confidential, classified, restricted, export-controlled, proprietary, secret, personal, sensitive or third-party-protected information unless they have full legal authority to do so and understand that such information may become visible, searchable, downloadable, copied, indexed, distributed or used by others through the Platform.

ESX is not responsible for any disclosure, misuse, copying, redistribution or loss of confidentiality resulting from content uploaded by a user.

2.User Responsibility for Uploaded Content

Each user is solely responsible for all content they upload, submit, import, publish or make available through the Platform.

By uploading or submitting content, the user represents and warrants that:

• they own the content or have all required rights, licenses and permissions to upload and publish it; • the content does not infringe any intellectual property, trade secret, confidentiality, contractual, privacy, export-control, security, defense, regulatory or third-party right; • the content is accurate to the best of their knowledge; • the content is not misleading, unlawful, unsafe or prohibited; • the content may lawfully be used, displayed, stored, processed, reproduced, distributed, downloaded and made available by ESX as part of the Platform.

ESX has no obligation to verify the legality, ownership, accuracy, completeness, safety or suitability of user-uploaded content.

3.License Granted to ESX

By uploading, submitting or publishing content on the Platform, the user grants ESX a worldwide, non-exclusive, royalty-free, sublicensable, transferable and perpetual license to host, store, reproduce, display, distribute, index, analyze, modify for formatting, translate, generate previews, create derivative technical formats, include in item pages, include in search results, include in datasheets, and otherwise use the content as needed to operate, develop, secure, promote and improve the Platform.

This license survives deletion of the user account or removal of the content where reasonably required for backups, audit trails, legal compliance, completed transactions, records, dispute handling, security, or previously generated marketplace documents.

4.No Engineering, Manufacturing or Professional Warranty

The Platform may include engineering data, CAD files, technical specifications, dimensions, materials, standards references, datasheets, generated documents, supplier declarations and other technical information.

All such information is provided "as is" and "as available".

ESX does not warrant that any information, CAD file, STEP file, drawing, datasheet, product description, item attribute, standard reference or supplier declaration is: accurate; complete; up to date; suitable for manufacturing; suitable for design; compliant with any standard; safe for use; appropriate for any specific application; or approved by any regulatory, military, defense, aerospace, medical, automotive or other authority.

Users must independently verify all technical data before purchasing, selling, manufacturing, designing, installing, relying on or using any item.

5.No Responsibility for Use of Products or Data

ESX is not responsible for any damage, defect, failure, loss, injury, delay, cost, recall, non-compliance, manufacturing error, design error, assembly error, operational failure or other consequence arising from: reliance on Platform data; use of uploaded files; use of CAD or STEP files; use of generated datasheets; purchase or sale of items; manufacturing based on Platform content; supplier declarations; buyer decisions; user ratings; product recommendations; search results; or item equivalency or compatibility information.

Any use of the Platform is at the user's own risk.

6.Marketplace Role

ESX may act as a marketplace, data platform, listing platform, search tool, technical catalog platform, transaction facilitator or communication platform.

Unless explicitly stated otherwise, ESX is not the manufacturer, designer, supplier, importer, exporter, distributor, reseller, agent, representative, certifier, inspector or guarantor of any item listed on the Platform.

Sellers are solely responsible for the products, offers, prices, availability, delivery, warranties, documentation, compliance, certifications and representations they provide.

Buyers are solely responsible for verifying that any item is suitable for their intended use.

7.Standards, Compliance and Certifications

References to standards, certifications, regulations, specifications, materials or compliance requirements are informational only unless expressly verified in writing by an authorized party.

ESX does not guarantee that any item complies with any standard, law, regulation, certificate, military requirement, aerospace requirement, safety requirement, export-control rule or customer requirement.

Where the Platform distinguishes between "defined by standard", "declared compliance", "verified compliance" or similar statuses, such labels are intended only to describe the data source or claim status and do not create a warranty by ESX.

8.Export Control, Defense, Security and Restricted Items

Users are solely responsible for complying with all applicable export-control, import-control, defense, sanctions, end-user, end-use, security, licensing and regulatory requirements.

Users must not use the Platform to upload, sell, purchase, transfer, export, import or distribute restricted items, controlled technology, defense articles, dual-use items or sensitive information unless they have all required legal rights, approvals, licenses and authorizations.

ESX may restrict, suspend, block, review or remove users, companies, listings, files, offers or transactions at its discretion, but ESX does not assume responsibility for user compliance.

9.Third-Party Content and Links

The Platform may contain content, links, files, images, datasheets, CAD files, websites, seller information, manufacturer information, standards references or other materials provided by third parties.

ESX is not responsible for third-party content, external websites, supplier claims, manufacturer claims or user-submitted materials.

10.No Availability or Error-Free Operation Warranty

ESX does not guarantee that the Platform will be uninterrupted, secure, error-free, available at all times, free of viruses, free of data loss, or compatible with every system, device, browser, CAD tool or workflow.

ESX may modify, suspend, remove or discontinue any part of the Platform at any time.

11.Limitation of Liability

To the maximum extent permitted by law, ESX, its owners, directors, employees, contractors, affiliates and service providers shall not be liable for any direct, indirect, incidental, consequential, special, punitive or exemplary damages, including but not limited to: loss of profits; loss of revenue; loss of business; loss of data; manufacturing losses; design errors; product failures; procurement errors; delivery delays; compliance failures; regulatory penalties; loss of confidentiality; intellectual property claims; injury or property damage; reliance on technical data; or use or inability to use the Platform.

Where liability cannot be fully excluded, ESX's total liability shall be limited to the lowest amount permitted by applicable law, or to the amount actually paid by the user to ESX for the specific service giving rise to the claim during the three months preceding the event, whichever is lower.

12.Indemnification

Each user agrees to defend, indemnify and hold harmless ESX, its owners, directors, employees, contractors, affiliates and service providers from and against any claims, damages, liabilities, losses, costs, expenses, legal fees or demands arising from: the user's use of the Platform; content uploaded or submitted by the user; products sold or purchased by the user; violation of these Terms; violation of law or regulation; infringement of intellectual property or confidentiality rights; inaccurate, unsafe or misleading technical information; export-control, defense, sanctions, end-use or compliance violations; or disputes with buyers, sellers, manufacturers, suppliers or third parties.

13.Removal, Suspension and Moderation

ESX may, at its sole discretion, remove content, restrict access, suspend users, block transactions, disable offers, remove files, request additional information, or take other action where ESX believes there may be legal, technical, safety, compliance, security, commercial or platform integrity concerns.

ESX has no obligation to monitor all content and no failure to remove content shall be deemed an approval, endorsement or assumption of responsibility.

14.No Legal, Engineering or Professional Advice

Information on the Platform does not constitute legal, engineering, manufacturing, procurement, compliance, tax, financial, safety or professional advice.

Users should obtain independent professional advice where required.

15.Changes to These Terms

ESX may update these Terms from time to time. Continued use of the Platform after changes are published constitutes acceptance of the updated Terms. The current version and last updated date are shown at the top of this page.

16.Governing Law and Jurisdiction

These Terms shall be governed by the laws of [Jurisdiction — to be completed by platform operator].

Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction], unless mandatory law requires otherwise.
